Mineros Proposes About US$58 Million Reserve Release as US$0.20 Per Share Special Dividend
Mineros proposes a US$0.20 per share special dividend from reserves; shareholders vote November 24, 2026, with payment on December 4 if approved.
Mineros S.A. has called an extraordinary shareholder meeting for November 24, 2026, in Medellín, Colombia, to vote on releasing part of its occasional reserves and distributing the amount as a one-time extraordinary cash dividend of US$0.20 per common share, approximately US$58 million. If approved, the dividend would be paid on December 4, 2026, to shareholders of record on December 1, 2026, in addition to the US$0.10 per share ordinary dividend approved on March 27, 2026. The Board of Directors recommends that shareholders vote in favor.
Company Overview
Mineros (TSX: MSA | BVC: MINEROS | OTCQX: MNSAF) is a Latin American gold mining company headquartered in Medellín, Colombia. The company operates a diversified portfolio of assets in Colombia and Nicaragua and maintains a pipeline of development and exploration projects across the region, including the Porvenir polymetallic project within the Hemco Property in Nicaragua, the La Pepa Project in Chile, and an exploration project in the Tolima department near Cajamarca, Colombia. Mineros has more than 50 years of operating history.
The Proposal & Reserve Release
Shareholders will be asked to approve the release of a portion of the company's occasional reserves, constituted from profits from fiscal years ended on or before December 31, 2025. The released amount would be distributed as a one-time extraordinary cash dividend of US$0.20 per common share, approximately US$58 million. The payout therefore draws on profits earned in 2025 and earlier years.
The extraordinary dividend is in addition to, and does not affect, the ordinary dividend of US$0.10 per share approved on March 27, 2026. The Board of Directors recommends that shareholders vote FOR the resolution.
Payment Terms & Tax Treatment
If approved, the extraordinary dividend will be paid in a single installment on December 4, 2026, to shareholders of record on December 1, 2026. Dividends paid to shareholders holding through the Canadian system will be subject to a 20% Colombian withholding tax. Eligible shareholders may claim any excess withholding through the procedure described in the Management Information Circular dated October 15, 2026.
Meeting Details & Voting
The meeting will be held at 10:00 a.m. Colombia time on November 24, 2026, at the Hotel Marriott in Medellín. The record date for shareholders in the Canadian market is October 15, 2026, and proxies and voting instruction forms must reach TSX Trust Company by 10:00 a.m. Colombia time on November 20, 2026.
Mineros is using notice-and-access, with the circular and related materials available on SEDAR+ and on the company's website, where a live listen-only webcast of the meeting will also be available.
Approval Conditions & Risks
No dividend is payable unless shareholders approve the resolution. Mineros notes that its General Shareholders Assembly may decline to approve the extraordinary dividend or may approve it with variations. The company's planning assumes no restrictions on dividend payments under its financing arrangements, and it identifies those arrangements as a possible constraint, along with the risk that laws, regulations, and tax rates may change.
