Lifezone Metals' Third Quarter: 8 Things You Need to Know About Kabanga's Funding Position

Lifezone held $22.2M cash and $18.3M of conditional bridge funding at September 30, as Kabanga spending rose ahead of a 2027 investment decision.

Kabanga's Pre-Construction Spending Meets a Conditional Balance Sheet

Lifezone Metals (NYSE: LZM) reported approximately $40.5 million in liquidity as of September 30, 2026, comprising $22.2 million in cash and $18.3 million in undrawn bridge loan capacity. That bridge capacity is conditional on an amended Framework Agreement with the Government of Tanzania; without that signature, the only available funding is the $22.2 million in cash, well below the reported liquidity figure. Over the 9 months to September 30, the company invested $24.8 million in the Kabanga Nickel Project as it prepared for a final investment decision (FID) that the Board is targeting for the first quarter of 2027, while its strategic equity and project finance processes advanced without a disclosed funding commitment.

1. Cash of $22.2 Million Is the Unconditional Part of $40.5 Million in Liquidity

Cash totaled $22.2 million as of September 30, 2026, up from $20.1 million as of December 31, 2025. Reported liquidity, which adds the undrawn balance of the senior secured bridge loan facility, was approximately $40.5 million, down from $60.1 million at the start of the year, as the undrawn balance fell to $18.3 million from $40.0 million. The two components differ in access: cash is available now, while the bridge balance can be drawn only after the Framework Agreement amendment is signed.

The company raised $45 million in the period through equity and bridge drawdowns, while investing activities used a net $24.1 million and interest and lease payments absorbed $10.2 million. New capital went into Kabanga as it arrived, so the cash balance held close to its year-start level while undrawn bridge capacity declined.

2. The Final $18.3 Million of the Bridge Loan Depends on Tanzania

Taurus Mining Finance has advanced $41.7 million of its $60 million bridge loan facility. The remaining $18.3 million is contingent on the signing of the amendment to the Framework Agreement and is available until November 29, 2026, following a 3-month extension of the availability period.

The same amendment, together with agreement on a Joint Financial Model that will define how economic benefits from Kabanga are shared, is a condition for financing. A signing before November 29 would release the final bridge tranche and clear a financing condition at the same time. Without a signing by that date, the $18.3 million is not available under the facility's current terms.

3. Kabanga Investment Stepped Up as Procurement Moved to Tender

Investing activities used a net $24.1 million in the 9 months, compared with $13.5 million in the same period of 2025. That net figure included $24.8 million invested in Kabanga, with other investing inflows offsetting part of the project spend. The exploration and evaluation asset on the balance sheet increased to $172.3 million from $141.0 million at December 31, 2025.

The spending is tied to contracting activity. 59 Expressions of Interest have been approved, 34 packages have been released to market and 24 tenders have been received. The mining tender closed in September and is under evaluation, and tenders for the engineering, procurement and construction of the 220-kilovolt overhead power line are scheduled for the fourth quarter of 2026. Tender awards made ahead of FID would add contract commitments funded from existing cash and the conditional bridge capacity while strategic equity and project finance remain open.

4. Corporate Cash Burn Improved While Reported Overheads Rose

Net cash used in operating activities was $7.9 million for the 9 months, a $1.2 million improvement on the same period of 2025, driven by $0.7 million of lower cash corporate overheads and $0.5 million of higher gross profit from Simulus, the company's metallurgical laboratory and engineering business. General and administrative expenses rose to $16.3 million from $12.5 million, mainly because of $4.9 million of share-based payments, which do not consume cash. Simulus generated $1.93 million of revenue, up from $0.48 million, across 30 contracts with 15 clients.

5. Net Debt Rose to $83.1 Million, Driven by the Bridge Loan

Total debt increased to $105.3 million at September 30, 2026 from $93.0 million at December 31, 2025, and net debt rose to $83.1 million from $72.9 million. The senior secured bridge loan balance rose to $36.1 million from $16.7 million and was the only debt line to increase. Convertible debentures and the embedded derivative stood at $39.6 million against $39.7 million, and the 2025 offering warrant liability fell to $9.4 million from $11.0 million.

Deferred consideration payable to BHP fell to $20.2 million from $25.7 million, and the company attributed a $5.5 million fair value gain on this liability to the lower share price. Separately, an independent expert confirmed that the Kabanga Resettlement Action Plan is in material alignment with International Finance Corporation Performance Standard 5, which reduced the cap on consideration payable to BHP, the maximum amount payable, by $8 million. The company has not stated how the cap reduction affects the recorded liability.

6. Lower Share Price Generated $8.9 Million in Non-Cash Fair Value Gains

The net loss attributable to shareholders was $13.5 million, or $0.15 per share on 87.6 million weighted average shares, and the loss before tax was $13.9 million, compared with $11.3 million a year earlier. Non-cash fair value gains of $8.9 million reduced the reported loss and included $5.5 million on the deferred BHP consideration, $1.9 million on convertible debenture derivatives and $1.6 million on warrants, as the share price fell from $4.27 to $3.76.

The same instruments would produce fair value losses if the share price recovered, so part of the reported result moves with the stock instead of with Kabanga spending.

7. 2 Funding Channels Beyond the Bridge Are Advancing in Parallel

A strategic equity process led by Standard Chartered Bank has reached advanced negotiations with the Orion Critical Mineral Consortium (Orion CMC) on a significant strategic equity investment in Kabanga. Orion Resource Partners formed Orion CMC with the US International Development Finance Corporation and L'IMAD, Abu Dhabi's sovereign investment platform. The company has described the investment as significant without stating its size or terms.

The project finance process led by Societe Generale has completed the selection of pathfinder development finance institutions and export credit agencies. The Board is targeting FID in the first quarter of 2027, with the Framework Agreement amendment and the Joint Financial Model as conditions for financing, and the company has said FID could come earlier or later depending on lender due diligence.

The 2 processes address different parts of Kabanga's funding requirement, and neither has yet produced a disclosed financing commitment. In the meantime, pre-FID expenditure draws on $22.2 million of cash and on $18.3 million of bridge capacity that depends on the Framework Agreement amendment.

8. 142.4 Million Fully Diluted Shares Include Instruments Above the Current Price

Lifezone had 90.4 million basic shares and 142.4 million fully diluted shares as at July 13, 2026, and a market capitalization of $307.4 million at $3.40 per share on October 27, 2026. The difference comprises 14.4 million listed warrants exercisable at $11.50, 26.8 million earnout shares tied to share price triggers of $14.00 and $16.00, Taurus warrants of 2.5 million at $5.42 and 0.5 million at $6.25, 4.4 million warrants at $4.00, and 3.4 million stock options and restricted share units.

None of the warrants or earnout shares are ordinary shares today, and every warrant tranche carries an exercise price above the $3.40 reference price, so the gap between basic and fully diluted shares is not immediate dilution. The most recent equity raise was a $25 million registered direct offering completed on April 23, 2026, which issued 5.7 million shares for $23.3 million of net proceeds.

The Orion CMC investment is described as an investment in Kabanga, and its structure has not been disclosed. An investment at project level would not add Lifezone shares but would reduce Lifezone's ownership interest in Kabanga, while an investment in Lifezone itself would add to the basic share count.

Catalysts to Watch

The nearest catalyst is signing the Framework Agreement amendment with the Government of Tanzania before November 29, 2026, a condition for drawing the remaining $18.3 million of the bridge loan facility. Alongside it, agreement on the Joint Financial Model will define how economic benefits from Kabanga are shared with Tanzania, and both are conditions for project financing.

On the funding side, a definitive agreement with the Orion Critical Mineral Consortium would disclose the size of its strategic equity investment and whether it is made at the Kabanga project level or in Lifezone itself. Progress in the Societe Generale project finance process beyond the selection of development finance institutions and export credit agencies would show how the debt portion is advancing.

At the project, the next procurement steps are the award of the mining tender and the release of engineering, procurement and construction tenders for the 220-kilovolt overhead power line in the fourth quarter of 2026, ahead of a Board FID on Kabanga, targeted for the first quarter of 2027.
