Integra Resources will grant 517,103 common shares valued at US$1.5 million to the Shoshone-Paiute Tribes at C$3.97 per share, reflecting the TSX Venture Exchange closing price immediately before execution. The equity grant positions the Shoshone-Paiute as long-term partners with direct interest in value creation at the DeLamar Project in southwestern Idaho and reflects collaborative work on baseline data collection, tribal monitoring, and mine plan co-development. Completion requires NYSE American approval and satisfaction of customary closing conditions. The DeLamar Project is Integra's flagship development-stage heap leach project in southwestern Idaho, advanced alongside the Florida Canyon Mine operating asset in Nevada.

Equity structure positions the tribe as a direct participant in project economics

Integra Resources will issue 517,103 common shares to the Shoshone-Paiute Tribes under an agreement announced on May 13, 2026. The shares carry an aggregate value of US$1.5 million and are priced at C$3.97, the closing price on the TSX Venture Exchange (TSXV) immediately before execution. The equity grant requires NYSE American approval and satisfaction of customary closing conditions before completion.

The share issuance formalises the Shoshone-Paiute position as equity holders with direct exposure to DeLamar Project value creation. The agreement follows work undertaken by Integra and the Shoshone-Paiute on baseline data collection, tribal monitoring, and mine plan co-development. The equity structure allows the Shoshone-Paiute to participate as long-term partners in the DeLamar Project, grounded in what the company characterises as mutual respect, shared outcomes, and alignment on project advancement.

Collaborative framework addresses tribal interests in the southwestern Idaho project

The equity grant reflects work undertaken by Integra and the Shoshone-Paiute to design and implement processes addressing their respective interests in the DeLamar Project. The collaborative approach covers participation in baseline data collection, tribal monitoring, and mine plan co-development. The work undertaken has contributed to what Integra describes as a Project that is better understood, more predictable, and better positioned to earn support locally and across the region by stakeholders.
