Canada Nickel Company Inc. announced on August 12, 2026, that it intends to complete a non-brokered private placement for gross proceeds of C$15,000,000. The Offering consists of 10,000,000 units priced at C$1.50 per unit, with each unit comprising one common share and one-half of one common share purchase warrant. Net proceeds will support permitting and engineering activities, repayment of outstanding indebtedness, and working capital and general corporate purposes, as the company continues advancing its flagship Crawford Nickel-Cobalt Sulfide Project toward a construction decision.

Offering Structure
Each whole warrant entitles the holder to purchase one additional common share at C$2.25 for a period of 36 months from the issue date. The units are being offered to purchasers outside of Canada under an exemption from prospectus requirements available under Ontario Securities Commission (OSC) Rule 72-503, Distributions Outside Canada. As a result, securities issued to purchasers outside of Canada under the Offering are not expected to be subject to a 4-month hold period in Canada. Closing remains subject to customary conditions, including execution of definitive documents and approval from the TSX Venture Exchange (TSXV).
Use of Proceeds
Canada Nickel plans to direct net proceeds toward permitting and engineering work tied to advancing its project portfolio, repayment of outstanding indebtedness, and working capital and general corporate purposes. Chief Executive Officer and Director of Canada Nickel, Mark Selby, tied the financing directly to the company's construction timeline:
"Today's funding allows the Company to continue advancing our Crawford Nickel project towards a construction decision next year while we continue to work on various financing initiatives which we expect to be completed later this fall."
Next Steps
Closing of the Offering is subject to the execution of definitive documents and receipt of all necessary approvals, including TSXV approval. Management has indicated that additional financing initiatives are targeted for completion later this fall.
