Annual Meeting Results
i-80 Gold Corp. held its Annual Meeting of Shareholders on June 23, 2026. Shareholders approved a 9-member board, elected all director nominees from the management information circular dated April 29, 2026, and reappointed Grant Thornton LLP (USA) as auditors. 509,632,021 common shares - approximately 60% of shares outstanding as at the April 27, 2026, record date - were represented at the meeting. John Seaman, a director since the Company's formation, did not stand for re-election. Stephen Gottesfeld, who spent more than 25 years at Newmont Corporation, including nearly a decade on its Executive Leadership Team, was elected in his place.

John Seaman did not stand for re-election at the June 23, 2026, meeting, ending his tenure as a director of i-80 Gold - a role he had held since the company's formation. No replacement was named for his specific board responsibilities.

Gottesfeld spent more than 25 years at Newmont Corporation, serving on the Executive Leadership Team for nearly a decade in two successive roles: Executive Vice President, General Counsel & Corporate Secretary, and Executive Vice President, Chief Sustainability & External Affairs Officer, before retiring in 2022. His board experience includes Continental Gold, the Colorado Mining Association, and the National Mining Association. He currently advises Resolve and its affiliate Regeneration, which focuses on re-mining, reprocessing, and mine site restoration - areas operationally relevant to i-80 Gold's multi-site Nevada portfolio.
