Mogotes Metals upsizes its pre-emptive rights issuance to CD Capital and other shareholders to up to $19.2 million at $0.49 per share.
Mogotes Metals Inc. announced on August 12, 2026, that it intends to increase the number of common shares issuable to CD Capital Fund IV L.P. and other participating shareholders under its pre-emptive rights process, raising the size of the issuance from 38,558,817 to up to 39,186,369 common shares at $0.49 per share, for total proceeds to the company of up to $19,201,320.81.

CD Capital's Ownership Increase
The update follows Mogotes Metals' press releases of July 14, 2026, and July 21, 2026, which disclosed CD Capital's exercise of its right to subscribe for common shares, thereby increasing its ownership interest in the company to 19.9% on a partially diluted basis. The current increase in share issuance is being made pursuant to pre-emptive rights agreements held by the company with various shareholders.
Offering Terms
The common shares to be issued will be subject to a hold period of 4 months plus a day from the date of issuance, along with the resale rules under applicable securities legislation.
Next Steps
Closing of the increased issuance remains subject to customary conditions, including receipt of all necessary regulatory and other approvals, including approval from the TSX Venture Exchange.
